The User agrees to be bound by these Terms of Use, concluded between the company
9432-4944 Québec inc., operator of the Lok-8.me, Meretrouver.com, Reencuentra.me, and others (hereinafter referred to as "The Company"), and the User. Therefore, any reference to "us" or "our" in this text should be interpreted as referring to
The Company.
1. Terms of use
a. Welcome to Lok-8.me! Lok-8.me is an exploited platform
b. By using Lok-8.me, you agree to be subject to the terms of use set forth herein (the "
Terms of Use"). If you are using Lok-8.me as an employee or agent of or on behalf of an organization (the "
Organization"), your use of Lok-8.me constitutes your acceptance that the organization is also subject to the terms of use set forth herein and you confirm that you are authorized to legally bind the organization as a party hereto. In these terms of use, "
we", "
our", refer to Lok-8.me.
c. In general, Lok-8.me procures technology from reputable licensors and third parties. Lok-8.me cannot be held responsible for any service outage or security breach with respect to the technology provided by these licensors and third parties as established in clause 11 below.
d. These Terms of Use are current as of the "Last Revision" date indicated at the top of this page. We may change these terms of use by supplementing, deleting, or changing their content from time to time. We will provide you with notice of the proposed changes by posting an amended version of these Terms of Use with a new version number and by displaying a pop-up window directing you to the new version. We will include a link to the previous version of the Terms of Use under the new version number. The changes will take effect 30 days after the date of publication of the amended version. Prior to this date, the previous version of the Terms of Use will continue to apply.
e. If you disagree with any changes, you may stop being subject to these Terms of Use by stopping using Lok-8.me at any time during the 30-day notice period. If the changes increase your obligations under these Terms of Use, or if they decrease ours, you may also cancel your subscription within 30 days after the changes take effect, without charge or penalty. If you do not stop using Lok-8.me during this period, your continued use will constitute your consent to the proposed changes. In addition, if you use Lok-8.me again, you will be deemed to have consented to the changes then in effect.
2. Restricted license
a. Access to Lok-8.me is only granted to specific individuals (each an "
authorized user") to facilitate the sharing and communication of information and documents (the "
authorized purpose"). If you are not an authorized user, you are strictly prohibited from using Lok-8.me. You acknowledge that: you are responsible for ensuring that all authorized users are aware of these terms of use and that they comply with them.
b. If you are an authorized user, Lok-8.me grants you a limited license, which grants you the right to: (1) access Lok-8.me; (2) to display on your computer the content made available to you on Lok-8.me, as well as to modify, download, and print that content (collectively, the "
Content"); and (3) to use the other features available to you on Lok-8.me, but in each case only for the authorized purpose and in accordance with these terms of use.
c. Unless written permission has been obtained in advance by you or the organization from the owner of the content or from any third party who owns or manages such rights: (1) neither you nor the organization will disclose the content, whatever it is, to a third party; (2) neither you nor the organization will use the content, whatever it is, for commercial or other purposes; (3) neither you nor the organization will modify the content and not produce any derivative works of the content; and (4) if the content includes digital management controls for rights or similar technology, or if it constitutes a computer program or similar technology, neither you nor the organization will disable or attempt to deactivate these controls, or to decompile, reverse engineer, or disassemble, duplicate, modify, or distribute such content. Neither you nor the organization will: (1) resell Lok-8.me and use it for commercial purposes; (2) attempt to decompile, reverse engineer, or disassemble, duplicate, modify, or distribute Lok-8.me technology elements, whatever they may be; or (3) use or attempt to use Lok-8.me for any illegal or inappropriate purpose.
e. Except for the limited license mentioned above, neither you nor the organization owns any right or license by involvement, estoppel, or otherwise in connection with any intellectual property right or any other right owned by Lok-8.me or any other third party. No other use is permitted, and all other rights are reserved by Lok-8.me, its service providers, and content owners.
3. Content uploaded to Lok-8.me
a. If content is uploaded to Lok-8.me by you or on your behalf, or by or on behalf of the organization ("
Customer Content"): (1) you and the organization hereby grant Lok-8.me and its service providers a limited license to store and use the client content uploaded to Lok-8.me and to disclose it to others as reasonably necessary for the authorized purpose; (2) you and the organization hereby represent and warrant to Lok-8.me, and agree with Lok-8.me that: a) you and the organization have all necessary rights to upload customer content and grant Lok-8.me and its service providers the above license; b) the uploaded client content does not infringe the rights of a third party, and the upload of customer content does not violate any agreement with a third party; c) the uploaded client content is not defamatory, obscene, or illegal, and does not infringe upon no applicable law; and d) if the uploaded client content contains personal information or personal data, you have all consents required by law to grant Lok-8.me and its service providers the above license and to allow Lok-8.me to store and process such personal information as set out in these Terms of Use; and (3) if the uploaded Customer Content is subject to a country's export control requirements and restrictions, you will notify us and you or the Organization will be solely responsible for ensuring that the Customer Content complies with such requirements and restrictions.
4. Additional statements
a. You and the organization hereby represent and warrant to Lok-8.me and agree with Lok-8.me that: (1) you and the organization have all necessary rights to use Lok-8.me; and (2) in connection with the use of Lok-8.me, you will not introduce any software, viruses, or other hardware that may interfere with the operation of Lok-8.me or compromise any content of Lok-8.me.
5. Recognitions
a. You acknowledge that: (1) the content may be transferred, stored, or processed in a country other than your own or that it may be accessible from another country and that such content (i) may be subject to the applicable laws of the territory where it is stored or to the applicable laws of the territory from which it is accessed, and (ii) may need to be disclosed to the governments, courts, or law enforcement or regulatory agencies of the territory in question, in accordance with the laws of this territory; (2) access to Lok-8.me may be suspended at the opportunity for planned or urgent maintenance interventions, or in the event of actual or suspected security issues; and (3) Lok-8.me may make changes to the functionality of Lok-8.me at any time, with or without notice, and these changes may change and/or limit the functionality of Lok-8.me.
6. Content subject to professional secrecy
a. Some communications between a lawyer and his client are protected by professional secrecy. This confidentiality status may prevent the disclosure of such communications, without customer consent, to governmental authorities or as part of legal proceedings and extrajudicial investigations that would otherwise require the disclosure of such communications. If you or the organization is a customer of Lok-8.me, in an effort to maintain the confidentiality of communications made with us through Lok-8.me, we recommend that you and the organization: (1) not disclose information obtained through Meretrouver.com except to those persons within the organization who have a need to know; (2) maintain copies of such information in a secure location and ensure that unauthorized persons cannot access it; and (3) not transmit any copies of such information to persons outside the organization. Nothing herein constitutes professional legal advice from us, and we have not established an attorney-client relationship with you, unless we have separately and expressly agreed otherwise in a retainer agreement we have signed with you. If you or the organization is one of our clients, we invite you to contact us if you would like more information about our privileged communications.
7. Identifiers and passwords
a. You are responsible for maintaining the confidentiality of the username and password. You are not allowed to disclose your username and password to anyone else. You agree to notify Lok-8.me as soon as possible of any unauthorized use of your username and password, as well as the loss of your username and password. Lok-8.me will not be responsible in any way for the activities carried out by anyone who uses your login. Lok-8.me reserves the right, at its sole discretion, to change or deactivate your ID if Lok-8.me suspects that there has been a security breach or attack or to ensure the security of Lok-8.me.
8. Personal Information Protection Policy
a. Lok-8.me is a firm believer in protecting users' personal information. For more information about how we collect, use, and disclose personal information, please see our
Privacy Policy.
9. Intellectual property
a. All ownership and intellectual property rights in Lok-8.me, including the content, and designs, are owned by us, our licensors or service providers and are protected by copyright, trademark, trade secret, or other intellectual property laws.
b. If you provide us with ideas, comments, or suggestions related to Lok-8.me, including any content, models, and/or decision-making tools (collectively, "
Feedback"):
i. All feedback is and will remain the exclusive property of Lok-8.me without any compensation or other consideration from us, including any intellectual property rights in the feedback;
ii. we may use or publish the feedback for any purpose, including using or integrating the feedback in any format or derivative that we wish to add to Lok-8.me, models, decision tools, or content, as part of our business, in our business, in any other product or service, or in any future or derivative version of the above; and
iii. you hereby assign to us all intellectual property rights and other rights anywhere in the world and in perpetuity on your feedback and, where applicable, relinquish all moral rights associated with them.
10. Disclaimer
a. We may suspend, remove, or restrict access to Lok-8.me in whole or in part at any time for commercial or operational reasons. We will attempt to provide you with reasonable notice of such suspensions or removals, but such notice is not guaranteed.
b. TO THE EXTENT PERMITTED BY LAW, YOU EXPRESSLY AGREE THAT LOK-8.ME AND ITS LICENSORS ARE NOT LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOSS SUFFERED IN CONNECTION WITH:
i. ANY EXPOSURE TO VIRUSES OR OTHER FORMS OF INTERFERENCE THAT MAY DAMAGE YOUR COMPUTER SYSTEM OR EXPOSE YOU TO FRAUD WHEN ACCESSING OR USING LOK-8.ME OR THE TEMPLATES. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT THE WAY YOU ACCESS AND USE LOK-8.ME AND THE TEMPLATES PROTECTS YOU FROM VIRUSES AND OTHER FORMS OF INTERFERENCE; AND
c. The models are designed according to the legislation of the applicable Canadian province mentioned in them, and the Canadian federal legislation applicable in that same province, unless otherwise specified. We make no representation or warranty that these templates are appropriate or suitable for use in other territories, or that the content complies with the laws of other territories. It is your responsibility to ensure that your access to and use of the templates is not illegal or prohibited, and that you comply with applicable laws in your jurisdiction. We may update the templates from time to time, with or without notice and for any reason, including to reflect changes in applicable laws. Therefore, we encourage you to regularly check that you are using the latest version of the templates.
d. LOK-8.ME DOES NOT REPRESENT OR WARRANT THAT THE CONTENT AVAILABLE ON LOK-8.ME IS ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE.
e. THE USE OF LOK-8.ME, ANY THIRD PARTY SERVICES THAT ARE MADE AVAILABLE ON OR THROUGH LOK-8.ME, AND ITS CONTENTS ARE PROVIDED TO YOU ON AN "AS IS" BASIS, WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND THOSE ARISING BY LAW OR OTHERWISE IN LAW, USUAL COURSE OF BUSINESS OR THE USE OF TRADE. LOK-8.ME DOES NOT REPRESENT OR GUARANTEE THE UNINTERRUPTED OR ERROR-FREE OPERATION OF LOK-8.ME.
f. LOK-8.ME AND ITS SERVICE PROVIDERS APPLY REASONABLE TECHNICAL AND ORGANIZATIONAL SECURITY MEASURES AIMED AT PROTECTING THE INTEGRITY OF LOK-8.ME AND AT PROTECTING AGAINST UNAUTHORIZED ACCESS, USE, AND PROCESSING OF ITS CONTENT. HOWEVER, LOK-8.ME AND ITS SERVICE PROVIDERS CANNOT REPRESENT, GUARANTEE, OR CERTIFY THAT: (1) LOK-8.ME, THE CONTENT AND ANY THIRD PARTY SERVICES THAT ARE MADE AVAILABLE ON OR THROUGH LOK-8.ME WILL BE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS; OR (2) LOK-8.ME AND ANY THIRD PARTY SERVICES THAT ARE MADE AVAILABLE ON OR THROUGH LOK-8.ME WILL NOT BE SUBJECT TO UNAUTHORISED ACCESS BY THIRD PARTIES (COMPUTER PIRACY).
g. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOK-8.ME WILL IN NO EVENT BE LIABLE, TO YOU OR THE ORGANIZATION OR TO ANY THIRD PARTY CLAIMING THROUGH YOU OR UNDER YOUR AUTHORITY OR THAT OF THE ORGANIZATION, FOR ANY LOSS OF PROFITS, ANY LOSS OR CORRUPTION OF OR DAMAGE TO DATA OR SOFTWARE OR ANY DAMAGE TO THEM, THE UNAVAILABILITY OF EQUIPMENT, OR ANY INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, REGARDLESS OF EITHER THE CAUSE, ARISING FROM THESE TERMS OF USE OR FROM THE OPERATION OR THE USE OF LOK-8.ME AND ANY THIRD PARTY SERVICES THAT ARE MADE AVAILABLE ON OR THROUGH LOK-8.ME, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL DAMAGES THAT WE MAY BE REQUIRED TO PAY TO YOU AND YOUR ORGANIZATION WILL IN NO EVENT EXCEED THE AMOUNT YOU PAID FOR YOUR LOK-8.ME SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING IMMEDIATELY PRIOR TO THE DATE THE FIRST EVENT GAVE RISE TO THE DAMAGE THAT OCCURRED, OR THE SUM OF $10,000 CAD, WHICHEVER IS GREATER. YOU AND THE ORGANIZATION ACKNOWLEDGE AND AGREE THAT THE ABOVE LIMITATIONS OF LIABILITY FORM AN ESSENTIAL BASIS FOR THESE TERMS OF USE AND THAT, IN THE ABSENCE OF THEM, THE ECONOMIC CONDITIONS FOR ACCESSING LOK-8.ME WOULD BE SIGNIFICANTLY DIFFERENT.
h. ALL EXCLUSIONS AND LIMITATIONS IN THESE TERMS OF USE APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
11. Indemnification and exemption from liability
a. You and the organization will indemnify, defend, and hold Lok-8.me and its service providers harmless from and against any liability, damages, and expenses (including reasonable settlement fees and legal fees) arising from any claim made against Lok-8.me or its service providers and attributable to: (a) any content uploaded by you or by the organization, or on behalf of you or on behalf of the organization, including any allegation that the content violates or is alleged to be in violation of intellectual property rights, or constitutes an actual or alleged breach of confidentiality or other rights of any person, or violates any civil or criminal law or regulation; b) your use, or the organization's use, of Lok-8.me or its content; c) any breach by you or the organization of any of the terms, conditions, or statements contained in these Terms of Use; or d) your use of a model, including any transaction entered into through the use of a template.
b. You and the organization agree that Lok-8.me will not be held liable, and hereby, you and the organization release Lok-8.me, its associates, attorneys, employees, agents, and service providers from all present or future losses and damages, including, without limitation, damages suffered by you, the organization, or third parties, whether direct, indirect, special, consequential, punitive, or increased, which damages would result directly or indirectly from the use or operation of Lok-8.me, of its content, or any unauthorized access to Lok-8.me or its contents.
12. Termination
a. Lok-8.me reserves the right, with or without notice and at its sole discretion, to terminate or suspend your use of Lok-8.me at any time and for any reason. Neither you nor the organization can opt out of these Terms of Use as long as either of you continue to use, access, or benefit from Lok-8.me.
13. Generalities
a. These terms of use are governed by the laws of Quebec and the federal laws of Canada applicable there, and must be interpreted in accordance with these laws, without regard to the principles of conflicts of laws that would cause another set of laws to apply. Any dispute related to these terms and conditions or to Lok-8.me must be submitted to the exclusive jurisdiction of the courts sitting in Montreal, Quebec.
b. You acknowledge that any failure to comply strictly with these Terms of Use will result, despite the fact that the content, models and/or decision-making tools are available without charge, in causing us losses, including a loss representing irreparable harm for which monetary damages would not be an adequate remedy.
c. The Terms of Use apply to your use of Lok-8.me, but they do not change in any way the terms of any other agreements between you or the organization and Lok-8.me relating to other products or services.
d. If any provision of these Terms of Use is found to be unlawful, void, or unenforceable for any reason, that term will be deemed removed, and such removal will not affect the validity and enforceability of the remaining provisions.

Please be aware that the accuracy of GPS position sharing relies on the device scanning the QR code, and the user has the option to decline sharing their position. The client acknowledges and agrees that any position information provided by the company may be inaccurate, disguised, or proxied at the source, and releases the company from any liability for incorrect or misleading position information.
